THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE SUBSTANTIVE LAWS OF THE STATE OF TEXAS AND IS PERFORMABLE AND ENFORCEABLE IN TRAVIS COUNTY, TEXAS.  THE PARTIES HEREBY CONSENT TO THE JURISDICTION OF THE DISTRICT COURTS OF TRAVIS COUNTY, TEXAS, AND OF THE UNITED STATES DISTRICT COURT, WESTERN DISTRICT OF TEXAS (AUSTIN DIVISION) AND ACKNOWLEDGE THAT SUCH COURTS SHALL CONSTITUTE PROPER AND CONVENIENT FORUM FOR THE RESOLUTION OF ANY ACTIONS BETWEEN THE PARTIES HERETO WITH RESPECT TO THE SUBJECT MATTER OF THIS AGREEMENT AND THE USE OF THE WEBSITE.  YOU AND RESEARCHPOINT AGREE THAT THESE COURTS SHALL BE THE SOLE AND EXCLUSIVE FORUMS FOR THE RESOLUTION OF ANY ACTIONS BETWEEN US WITH RESPECT TO SUCH MATTERS.
